Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User," "you," or "your") and Velocibid Inc. ("Velocibid," "we," "our," or "us") governing your access to and use of the Velocibid platform at velocibid.com, including all related services, features, and tools (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Velocibid is an AI-powered bid lifecycle management platform that provides:

• Government and commercial opportunity discovery (SAM.gov, Contracts Finder, TED)
• AI-powered proposal and RFP response generation
• Knowledge base management and document library
• Bid intelligence including Go/No-Go scoring and Win/Loss analysis
• Compliance document vault and vendor trust profiles
• Post-award contract tracking and milestone management
• Third-party integrations (HubSpot, Salesforce, Jira, DocuSign, Microsoft Teams)
• Document export (Word, PDF)

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be at least 16 years of age

You are responsible for all activity under your account. One person or organization may maintain multiple user seats under a single organization account.

4. Subscription, Billing & Free Trial

4.1 Free Trial

New accounts receive a 7-day free trial with access to all features. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service.

4.2 Subscription Plans

Velocibid offers a single plan at $199/month that includes unlimited users, unlimited projects, and access to all features. Pricing is subject to change with 30 days' prior notice.

4.3 Billing

Subscriptions are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are in US dollars unless otherwise stated.

4.4 Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• No partial refunds are provided for unused days within a billing cycle
• Your data is retained for 30 days after cancellation, then permanently deleted

Refund requests for the current billing period may be submitted within 7 days of charge by contacting support@velocibid.com.

5. Your Content & Intellectual Property

5.1 Ownership

You retain all rights, title, and interest in your content. Documents you upload, knowledge base entries, proposals you create, and all other user-generated content remain your intellectual property.

5.2 License to Velocibid

By uploading content, you grant Velocibid a limited, non-exclusive, royalty-free license to process, store, and display your content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account.

5.3 AI-Generated Content

Content generated by Velocibid's AI features (proposals, responses, analysis) is owned by you. However, you acknowledge that:

• AI-generated content may require review and editing before professional use
• Velocibid does not guarantee the accuracy, completeness, or suitability of AI output
• You are solely responsible for reviewing and approving all generated content before submission to third parties

5.4 No Training on Your Data

We do not use your proprietary content to train AI models for other customers. Your data is used exclusively to serve your account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable law
• Upload content that infringes intellectual property rights of others
• Attempt to reverse engineer, decompile, or disassemble the Service
• Use automated scripts, bots, or scrapers to access the Service (except via our official APIs)
• Circumvent rate limits, security measures, or access controls
• Resell, sublicense, or redistribute the Service without written permission
• Upload malicious content, viruses, or code designed to disrupt the Service
• Impersonate another person or entity
• Use the Service to generate spam, misleading proposals, or fraudulent bids

Violation of these terms may result in immediate account suspension or termination.

7. Third-Party Integrations

The Service allows you to connect third-party accounts (HubSpot, Salesforce, Jira, DocuSign, Microsoft Teams). When you enable an integration:

• You authorize Velocibid to access data from the connected service as described during the authorization flow
• Third-party services are governed by their own terms and privacy policies
• Velocibid is not responsible for outages, data loss, or changes in third-party services
• You can disconnect integrations at any time from your account settings

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice)
• Force majeure events beyond our control
• Third-party service outages (Supabase, Vercel, OpenAI, etc.)

We do not provide a formal SLA at this time. We make commercially reasonable efforts to maintain 99.9% uptime.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Velocibid disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be error-free, secure, or uninterrupted
• Warranties regarding the accuracy, completeness, or reliability of AI-generated content

AI Disclaimer: Velocibid is an AI-assisted tool. AI-generated proposals, scores, and analyses are provided as suggestions and should not be treated as professional advice. You maintain full responsibility for reviewing, verifying, and approving all content before use in professional bids, proposals, or contractual documents.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELOCIBID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid to Velocibid in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Velocibid, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Content you upload or generate through the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Proposals or documents you submit to third parties using the Service

12. Termination

12.1 By You

You may close your account at any time by contacting support or through your account settings. Cancellation of a paid subscription follows the process described in Section 4.4.

12.2 By Velocibid

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or pose a security risk. In cases of material breach, we may terminate immediately without notice. For other violations, we will provide 14 days' notice to cure.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be permanently deleted. Provisions that by their nature should survive termination (including Sections 5, 9, 10, 11, and 14) will survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or prominent website notice. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree to resolve disputes only on an individual basis and waive the right to participate in a class action, class arbitration, or representative proceeding.

15. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Velocibid.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms. Velocibid may assign them in connection with a merger or acquisition.
• Force Majeure: Velocibid is not liable for delays caused by events beyond our reasonable control.
